This is to acknowledge your letter of November 25th, 2002, stating shareholders can only submit one shareholder proposal for a particular shareholder's meeting.

As a result, I hereby respectfully withdraw from participation in the Executive Compensation Review shareholder proposal being coordinated by Responsible Wealth. It is my understanding that the other co-filers of the Executive Compensation Review proposal continue to intend to present their proposal at the next annual meeting.

This letter has no effect on the Responding to the AIDS Pandemic shareholder proposal, which I continue to wish to present.
